Terms of Use for Sloan Coaching & Consulting LLC AI Coach

1. Introduction

Welcome to Sloan Coaching & Consulting LLC (“Company,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our AI-powered coaching platform (“AI Coach” or "Dianoia"). By simply using the AI Coach, you agree to these Terms. If you do not agree, do not use the AI Coach.

2. Nature of Services

  • The AI Coach is an educational and self-development tool designed to provide general insights based on coaching, psychology, and neuroscience principles.

  • The AI Coach is not a licensed therapist, counselor, psychologist, psychiatrist, or medical provider.

  • The AI Coach does not provide medical, psychological, or therapeutic diagnosis, treatment, or advice.

  • No professional-client relationship (including but not limited to therapist-patient, doctor-patient, or fiduciary relationship) is created by your use of the AI Coach.

3. Not a Substitute for Professional Help

  • The AI Coach is not a substitute for professional medical, psychological, or therapeutic care.

  • If you are experiencing a crisis, mental health emergency, or medical emergency, call 911 (in the U.S.) or your local emergency number immediately.

  • Always seek the advice of a qualified healthcare provider with any questions regarding your health, mental health, or well-being.

4. User Responsibilities

  • You agree to use the AI Coach for personal growth, education, and self-reflection only.

  • You will not rely on the AI Coach for decisions that could result in harm to yourself or others.

  • You are solely responsible for evaluating and applying any information provided by the AI Coach.

5. Assumption of Risk

  • You acknowledge that AI technology is experimental and may produce inaccurate, incomplete, or inappropriate responses.

  • You assume full responsibility for your use of the AI Coach and any actions you take based on its outputs.

  • The Company disclaims all liability for any harm, loss, or damages arising from reliance on the AI Coach.

6. No Confidentiality or HIPAA Compliance

  • The AI Coach is not HIPAA-compliant and should not be used to share protected health information (PHI).

  • Do not input sensitive personal, medical, or financial information into the AI Coach.

7. Intellectual Property

  • All content, software, and materials related to the AI Coach are owned or provided by Sloan Coaching & Consulting LLC or its licensors.

  • You may not copy, modify, distribute, or reverse-engineer the AI Coach.

8. Limitation of Liability

To the fullest extent permitted by law:

  • The Company disclaims all warranties, express or implied, regarding the AI Coach.

  • The Company shall not be liable for any damages, including but not limited to direct, indirect, incidental, consequential, or punitive damages, arising from your use of the AI Coach.

9. Indemnification

You agree to indemnify and hold harmless Sloan Coaching & Consulting LLC, its officers, employees, and affiliates from any claims, damages, or expenses arising from your misuse of the AI Coach or violation of these Terms.

10. Eligibility

  • You must be at least 18 years old to use the AI Coach.

  • By using the AI Coach, you represent that you meet this requirement.

11. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.

12. Changes to Terms

We may update these Terms at any time. Continued use of the AI Coach after changes are posted constitutes acceptance of the revised Terms.
